Position Overview
The Company Secretary is a pivotal C-level position at Sukkur Electric Power Company Limited (SEPCO), a public sector power distribution company serving over 0.8 million consumers across 10 districts of Northern Sindh. This role is essential for upholding the highest standards of corporate governance and ensuring strict compliance with all statutory and regulatory requirements. The Company Secretary acts as a key liaison between the company, its Board of Directors, shareholders, and regulatory bodies, playing a vital role in maintaining corporate records, facilitating board meetings, and advising on governance best practices.Key Responsibilities
The successful candidate will be responsible for strategically supporting the Board of Directors and senior management in achieving organizational goals by ensuring strict adherence to corporate governance principles. Key responsibilities include preparing board meeting agendas and minutes, ensuring compliance with the State-Owned Enterprises (Governance and Operations) Act, 2023, and relevant policies. The Company Secretary will also be instrumental in building strong stakeholder relationships, providing clear and actionable communication on governance matters, identifying and mitigating corporate risks, and fostering a culture of compliance and transparency. They must demonstrate comprehensive expertise in corporate law and governance, adapting to evolving legal and regulatory frameworks.Eligibility Criteria
- Option 1: Must be a member of a recognized body of professional accountants.
- Option 2: Alternatively, must be a member of a recognized body of corporate or chartered secretaries.
- Option 3: Or, a person holding a Master's degree (16 years' education) in Business, Finance, Commerce, or Law from a University / Institute recognized by the Higher Education Commission (HEC) with at least five (5) years of relevant experience.
Age, Tenure, and Remuneration
The upper age limit for this position is 55 years on the closing date of the advertisement, with no age relaxation. The appointment will be made on a contract basis, initially for a period of two years, which will be extendable annually based on performance evaluated by the Board of Directors SEPCO. The selected candidate will be offered market-based competitive compensation and benefits in accordance with SEPCO (Contract Appointment on C-Level Positions) Regulations, 2024, and other relevant policies.Application Process

Additionally, a declaration on non-judicial stamp paper (available on the SEPCO website), duly attested by the Oath Commissioner, must be attached, affirming eligibility and compliance with the Fit and Proper Criteria as laid down in the State-Owned Enterprises (Governance and Operations) Act, 2023, SOEs Policy-2023, and SOEs (C-Level Appointments) Guidelines, 2024.
