PMDC invites applications for the position of Company Secretary on an open contract basis with a competitive market package. The successful candidate will play a crucial role in the corporate governance and legal framework of the corporation.Key Job Responsibilities
The Company Secretary will be responsible for a variety of critical functions, including:- Ensuring compliance with regulatory and statutory obligations, including adherence to the Companies Act, 2017, and SOE governance frameworks.
- Organizing and managing BoD Committee meetings and Board of Directors (BoD) meetings, including preparation and distribution of agenda, minutes, and follow-ups on decisions.
- Acting as liaison between the BoD, management, and stakeholders.
- Maintaining statutory records, filings, and corporate documents as required by law.
- Providing legal and administrative support on corporate governance issues.
- Ensuring timely and accurate provision of corporate information to relevant authorities.
- Advising the Board on legal and regulatory matters concerning PMDC's operations.
Qualifications and Experience
Qualification:The applicant must be a Member of a recognized body of professional accountants OR a member of a recognized body of corporate or chartered secretaries OR hold a Master's degree in Business Administration, Finance, Commerce, Law, or an equivalent qualification from an HEC-recognized university. The applicant must also fulfill the fit and proper criteria under the State-Owned Enterprises (Governance and Operations) Act, 2023.
Experience:
Overall ten (10) years minimum relevant post-qualification experience, with at least five years of experience as Company Secretary, particularly in corporate governance, regulatory compliance, and company secretarial practices.
Age Limit
Maximum 50 years on the closing date of application.Additional Requirements
Candidates should possess:- Strong communication, organizational, and interpersonal skills.
- Proficiency in legal drafting and corporate documentation.
- High integrity, professionalism, and commitment to transparency.
